The 2022 Annual General meetings (AGM) are coming in a few weeks, with several companies planning to present climate plans. “Say on Climate” resolutions will require shareholders to vote in favor or against those plans. While purely advisory and non-binding in nature, such votes cover important stakes. “Say on Climate” votes are a basic – and welcome – good practice for corporate governance but can quicly turn into a powerful greenwashing mechanism. Ahead of the 2022 AGMs, shareholders must guarantee the credibility of “Say on Climate” votes by letting companies know their minimum expectations for such resolutions, in terms of both form and substance.
